Independent Services

Business Valuations/Income Assessments (Family Law) – in the context of matrimonial proceedings we provide valuation reports for privately held businesses and income assessments produced in accordance with the Federal Child Support Guidelines (FCSG).

Fairness Opinions – render fairness opinions to boards of directors, special committees and other fiduciaries in connection with mergers, acquisitions, divestitures and other material transactions.

Transaction Advisory/Mergers, Acquisitions and Divestitures – determine value in accordance with open market transactions or assist business owners who are looking to sell their company.

Estate/Succession Planning – establish fair market values (FMV) to satisfy tax requirements and ensure an orderly transition of the business upon a business owner’s death.

Income Tax Planning/Corporate Reorganizations – provide valuations required to establishing fair market value (FMV) for capital gains measurement and other tax planning measures. Valuations are often required during corporate reorganizations or amalgamations.

Economic Loss Quantification – measure economic losses in the context of litigation relating to such matters as patent and license infringement, breach of contract, misrepresentation, expropriation, business interruption claims for insurance purposes, and personal injury.

Commercial Litigation Support – provide expert evidence related to a variety of value-related disputes and litigation, such as: shareholder or partnership disputes, commercial litigation, division of matrimonial assets, expropriations, securities and investor litigation and others.

Shareholder Disputes – provide value-related analysis and opinions to assist business owners in the structuring of shareholders’ agreements as well as in resolving shareholder disputes.

Financial Projections/Modelling – prepare, or assist with, complex financial models for a variety of business needs including strategic planning, financing and transactions.

Valuation of Intangible Assets for Financial Reporting – determine the value of identifiable intangible assets acquired by a business in accordance with financial reporting requirements (purchase price allocations) as well as for annual impairment reviews.

Employee Share Ownership Plans – determine the value of shares to aid employers in setting up employee share ownership plans and in issuing employee stock options.

Advisory Services

When an independent opinion is not required, we provide advisory services for engagements that range from straightforward to very complex valuation or litigation matters involving holding and operating companies, multiple classes and features of common and preferred shares, tangible and intangible assets, inter-company advances, mortgages and other debt instruments, or involve multiple jurisdictions, historical valuation dates, and other complexities.
